Welcome to FuWiMu.com ("FuWiMu," "we," "us," or "our"). By accessing or using our website and services (the "Platform"), you agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, please do not use the Platform.

1. About FuWiMu

FuWiMu is a platform that enables independent songwriters, poets, and other creators ("Creators") to sell their original musical and literary works to users ("Users" or "you"). A portion of the proceeds from each sale may be donated to charitable organizations designated by the Creator from our vetted list.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Platform. By using FuWiMu, you represent and warrant that you meet this requirement.

3. Accounts

To access certain features, you may need to create an account.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update it promptly.

4. Creators - Selling Your Work

If you are a Creator:

  • Ownership and rights: You retain all ownership rights in your original works. By listing a work on FuWiMu, you grant FuWiMu a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your work on the Platform for the purpose of facilitating sales.
  • Multiple authors and collaborators: If your work is a collaboration involving multiple authors, composers, lyricists, or other rights-holders, you must identify and list all co-authors and contributors when submitting the work. You represent and warrant that you have obtained all necessary permissions, consents, and licenses from each co-author to list, sell, and distribute the work on FuWiMu. FuWiMu reserves the right to request documented proof of these permissions.
  • Representations: You represent and warrant that you are the sole owner of all rights to the work you list, or you have written authorization from all co-authors; your work does not infringe upon the intellectual property, privacy, or other rights of any third party; and your work complies with all applicable laws and does not contain defamatory, obscene, or otherwise unlawful content.
  • Fees and payouts: FuWiMu charges a platform administration fee of 3% of each transaction. This fee is deducted from the Creator's proceeds before payout. Payouts to Creators are made on a quarterly basis, every three months. Creators are responsible for ensuring their payment information is accurate and up to date.
  • Charitable donations: FuWiMu maintains a curated, pre-vetted list of legitimate charitable organizations. Creators must select a charitable organization from this list to receive the designated donation portion of their proceeds. If a Creator wishes to support a charitable organization that is not currently on our list, they may suggest it for consideration. FuWiMu will investigate the suggested organization and, upon verification of its legitimacy, compliance, and eligibility, may add it to our approved list at our sole discretion. FuWiMu does not guarantee that any donation made through the Platform will be tax-deductible, and Creators and Users should consult their own tax advisors regarding deductibility.

5. Users - Purchasing Content

  • License: Upon purchase, you receive a personal, non-exclusive, non-transferable license to access and use the purchased work for your personal, non-commercial use. You may not reproduce, distribute, modify, or publicly perform the work without the Creator's express permission.
  • Payments: All payments are processed through our third-party payment processor. You agree to pay all fees and applicable taxes associated with your purchase.
  • Donations: You understand that a portion of your purchase price may be donated to a charitable cause selected by the Creator from our vetted list. FuWiMu does not control or guarantee how any charitable organization uses donated funds once they are received.

6. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose.
  • Upload or transmit any content that is harmful, abusive, harassing, defamatory, or obscene.
  • Impersonate any person or entity.
  • Interfere with or disrupt the Platform or servers.
  • Attempt to gain unauthorized access to any portion of the Platform.
  • Use any automated system, including bots or scrapers, to access the Platform.

7. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, and software, is the property of FuWiMu or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.

8. User-Generated Content

You retain ownership of any content you submit to the Platform. By submitting content, you grant FuWiMu a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display that content in connection with the Platform. You represent that you have all rights necessary to grant this license.

9. Third-Party Links

The Platform may contain links to third-party websites or services. FuWiMu is not responsible for the content, privacy policies, or practices of any third-party sites. You access them at your own risk.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FUWIMU DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FUWIMU AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO FUWIMU IN THE PAST TWELVE (12) MONTHS.

12. Indemnification

You agree to indemnify, defend, and hold harmless FuWiMu and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, with or without notice, for any reason, including if we believe you have violated these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located within New York, New York.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.
